ECHO – TERMS OF USE & REFUND

These Terms of Use ("Terms") govern your use of the services we provide. The services, which include the Echo platform, are provided by Quadriga, Inc., a Delaware corporation, operating as Taller Technologies ("Taller," "we," "us," or "our") pursuant to these terms.

By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you warrant and represent that you have the authority to bind that organization.

1. Description of Services

Echo is a web-based SaaS platform that enables teams to manage staffing workflows, including building teams, creating roles, and matching candidates.

The Services are provided on a self-served basis without a separately negotiated agreement.

2. Eligibility and User Type

Echo is a B2B product designed for companies and teams. While individuals may access the Services, they do so primarily on behalf of a business or organization.

  • You must be at least 18 years old to use the Services.
  • If you access or use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.
  • In such cases, "you" refers to both you as an individual user and the entity you represent.

Echo supports multi-user accounts, including workspaces and team collaboration features. The account owner or organization is responsible for:

  • Managing user access within its workspace
  • Ensuring that all authorized users comply with these Terms
  • All activities conducted under its accounts

3. Accounts & Workspaces

You must register an account to access certain features of the Services.

Accounts may include multi-user workspaces and team collaboration features.

You are responsible for:

  • Maintaining the confidentiality and security of your login credentials
  • All activities that occur under your account

If you create or manage a workspace on behalf of an organization:

  • The organization is responsible for all users associated with that workspace
  • You are responsible for managing user access and permissions
  • You must ensure that all users comply with these Terms

You agree to notify Echo promptly of any unauthorized access or suspected security breach.

Echo is not liable for any loss or damage arising from unauthorized use of your account, except where required by applicable law.

4. Subscription, Billing, Cancellation & Refunds

4.1 Plans & Billing

  • Echo offers a free plan and paid subscription plans
  • Paid plans are billed on a monthly recurring basis
  • Pricing is based on per seat and per module

By subscribing, you authorize Echo to charge your payment method on a recurring basis until cancellation.

Payments are processed through third-party providers (e.g., Stripe). Echo is not responsible for errors caused by such providers, although we will reasonably assist in resolving them.

4.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date.

You are responsible for canceling your subscription prior to renewal to avoid charges for the next cycle.

4.3 Cancellation

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of the current billing cycle
  • You retain access to paid features until that date

4.4 Effects of Cancellation

Upon expiration of your subscription:

  • Your account may be moved to the free plan, if available
  • Access will be limited according to free plan restrictions
  • If usage exceeds free limits, certain functionality may be restricted

4.5 Refund Policy

All payments are non-refundable, except:

  • As required by applicable law
  • Or as expressly provided below at 4.6.

No refunds will be issued for:

  • Partial billing periods
  • Unused seats
  • Unused features

4.6 Exceptions

Refunds may be issued at Echo's discretion in limited cases, including:

  • Duplicate charges
  • Billing errors
  • Unauthorized charges (subject to investigation)

Requests must be submitted within 30 days of the charge to: taller.us/about

4.7 Plan Changes

Upgrades take effect immediately and may result in prorated charges.

Downgrades or seat reductions:

  • Take effect at the next billing cycle
  • May require reducing active usage

4.8 Pricing Changes

Echo reserves the right to modify pricing at any time.

Changes will be communicated in advance and will apply at the next billing cycle.

4.9 Taxes

Prices may exclude applicable taxes. You are responsible for taxes based on your location.

4.10 Consumer Rights

Nothing in this Section limits mandatory consumer rights under applicable law.

4.11 Suspension or Termination for Billing Reasons

Echo may suspend or terminate accounts for:

  • Non-payment
  • Fraudulent or abusive activity
  • Violations of these Terms

No refunds will be provided in such cases unless required by law.

5. Permitted Use

You may use the Services to:

  • Manage staffing workflows
  • Create projects, roles, and candidate pipelines
  • Collaborate within teams

6. Prohibited Use

You agree not to:

  • Use the Services unlawfully or fraudulently
  • Reverse engineer or attempt to extract source code
  • Scrape or misuse platform data
  • Interfere with the Services
  • Upload harmful or unauthorized content

7. Intellectual Property

Echo retains all rights in the Services and underlying technology

  • You retain ownership of your content
  • You grant Echo a limited license to process your content to provide the Services
  • Echo may use aggregated and anonymized data

8. Data Protection & Privacy

Echo processes Personal Data in accordance with its Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Services

Echo may integrate with third-party services.

We are not responsible for their availability or policies.

10. Suspension & Termination

Echo may suspend or terminate access for:

  • Violations
  • Abuse
  • Legal reasons

Users may stop using the Services at any time.

11. Changes to the Services

We may modify or discontinue features, pricing, or plans. Continued use constitutes acceptance.

12. Disclaimer of Warranties

Services are provided "as is" without warranties of any kind.

13. Limitation of Liability

To the maximum extent permitted by law:

  • No indirect or consequential damages
  • Liability capped at fees paid in the preceding 12 months

14. Indemnification

You agree to indemnify Echo for claims arising from:

  • Your use
  • Violations
  • Third-party rights

15. Governing Law

These Terms shall be governed by the laws of the United States of America and the State of California (without regard to its conflict of law provisions), which govern this Agreement and all matters arising from or relating to it. The federal or state courts located in San Francisco, California are the exclusive venues for resolution of any dispute, controversy, or claim arising out of or relating to this Agreement, whether at law or in equity. The parties hereby irrevocably and unconditionally consent to the exclusive personal jurisdiction and venue of such courts and waive any defense of improper venue or inconvenient forum.

16. Changes to Terms

We may update these Terms periodically. Continued use constitutes acceptance.
